1. Introduction

These Terms and Conditions (“Terms”) govern the use of the payment gateway services integrated by I Next Software Solutions Pvt. Ltd. (“Company”, “we”, “our”, “us”) for clients (“Customer”, “you”, “your”). By engaging our services for payment gateway setup or integration, you agree to be bound by these Terms.

2. Scope of Service

The Company provides payment gateway integration, setup, configuration, and support for online payments on websites, web applications, and mobile apps.

The Company acts only as a technical service provider and not as a financial intermediary.

All financial transactions, settlement processes, and approvals are handled by the respective payment gateway provider (e.g., Razorpay, PayU, Cashfree, CCAvenue, etc.).

3. Payment Gateway Account

The Customer is required to create a merchant account directly with the selected payment gateway provider.

The Customer shall comply with the payment gateway provider’s KYC and verification process.

The Company shall not be liable for any delays, account suspensions, or rejections caused by incomplete or incorrect documentation.

4. Fees and Charges

Integration fees charged by the Company are exclusive of payment gateway transaction fees.

Any commission, MDR (Merchant Discount Rate), or service charge levied by the payment gateway provider shall be borne by the Customer.

The Company’s fees are non-refundable once the integration or setup process has been initiated.

5. Data Security and Privacy

The Company follows best practices to ensure the security of customer data during integration.

However, the Company does not store, process, or have access to customer payment information such as credit/debit card numbers or banking credentials.

The Customer is responsible for maintaining a secure hosting environment and complying with PCI-DSS guidelines if applicable.

6. Liability and Disclaimer

The Company shall not be liable for:

• Any transaction failures, chargebacks, or disputes arising from the payment gateway.
• Downtime or unavailability of the payment gateway provider’s services.
• Fraudulent transactions or unauthorized access to payment systems.

The Company’s responsibility is limited to technical configuration and support of the payment gateway integration.

7. Maintenance and Support

Post-integration, the Company shall provide basic technical support for 60 days.

Any additional changes, maintenance, or re-integration shall be subject to separate charges.

8. Intellectual Property

All code, scripts, or technical components developed during the integration process remain the intellectual property of the Company, unless explicitly transferred in writing.

9. Termination

Either party may terminate the service by providing written notice of at least 7 days.

In case of termination, all outstanding dues must be cleared before discontinuation of service.

10. Indemnity

The Customer agrees to indemnify and hold harmless the Company, its employees, and associates from any claims, damages, or liabilities arising from misuse of the payment gateway or non-compliance with applicable laws.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Raipur, Chhattisgarh.
